Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Parsectix ("Company," "we," "us," or "our") concerning your access to and use of the parsectix.com website and our cloud consulting services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our Services.

Services Description

Parsectix provides cloud consulting services, including but not limited to:

• Cloud migration and modernization services
• Application development and modernization
• Security and compliance consulting (DevSecOps, Zero Trust)
• Cloud infrastructure design and implementation
• Observability and FinOps optimization
• AWS and Cloudflare platform expertise

Specific service terms will be outlined in individual service agreements or statements of work.

Use of Services

Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit any malicious code, viruses, or harmful materials
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our Services
• Use our Services to compete with or harm our business

Intellectual Property Rights

The Services and all content, features, and functionality (including but not limited to information, software, text, displays, images, video, and audio) are owned by Parsectix, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Unless otherwise specified in a written agreement, all work product and deliverables created specifically for you as part of our consulting services will be owned by you upon full payment. However, we retain ownership of our pre-existing methodologies, tools, templates, and general knowledge.

Client Responsibilities

When engaging our consulting services, you agree to:

• Provide accurate and complete information necessary for service delivery
• Grant necessary access to systems, environments, and resources
• Designate authorized representatives for decision-making
• Respond to requests for information in a timely manner
• Comply with our security and access policies
• Make timely payments as agreed in service contracts

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This obligation will be detailed in a separate Non-Disclosure Agreement (NDA) or confidentiality provisions in service agreements.

We implement appropriate security measures to protect your confidential information and will not disclose it to third parties without your permission, except as required by law.

Payment Terms

Specific pricing, payment terms, and invoicing schedules will be outlined in individual service agreements or statements of work. General payment terms include:

• Fees are due as specified in service agreements
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise stated in writing

Limitation of Liability

To the fullest extent permitted by law, Parsectix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our Services
• Any unauthorized access to or use of our servers
• Any interruption or cessation of Services
• Any bugs, viruses, or other harmful components
• Any errors or omissions in any content

Our total liability shall not exceed the amount paid by you for the specific services giving rise to the claim during the twelve (12) months preceding the claim.

Disclaimer of Warranties

Our Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. While we strive to provide high-quality consulting services, we make no guarantees about specific outcomes or results.

Indemnification

You agree to indemnify, defend, and hold harmless Parsectix and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of our Services, violation of these Terms, or violation of any rights of another party.

Termination

We reserve the right to terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including breach of these Terms.

Specific termination provisions for consulting engagements will be detailed in individual service agreements.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [JURISDICTION - TO BE SPECIFIED], without regard to its conflict of law provisions.

Any disputes arising from these Terms or our Services shall be resolved through good faith negotiation. If negotiation fails, disputes may be resolved through arbitration or litigation as specified in individual service agreements.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
